General Partnership Terms

These General Partnership Terms (the "Agreement") govern the commercial relationship between NomaDrop LLC, a limited liability company organized under the laws of the United States and registered in the State of Wyoming, USA (official identifier 2025-001706052), the publisher and operator of the digital platform "Bagazin" (accessible in particular at www.bagazin.com), hereinafter "NomaDrop", and any natural or legal person operating an establishment and wishing to offer a luggage storage space via the platform, hereinafter the "Partner". This Agreement is accepted and signed digitally within the application by the Partner (the "Read and approved" checkbox), and constitutes the special terms and conditions applicable to Partners.

Article 1 — Purpose of the agreement

This Agreement sets out the terms of collaboration between NomaDrop and the Partner for the provision, by the latter within its establishment, of a secure space dedicated to the temporary storage of luggage belonging to users of the "Bagazin" platform. In return, the Partner receives a commission on bookings, in accordance with Article 5.

Article 2 — Scope of the partnership

The Partner provides a dedicated, clean, secure and clearly identified space, intended exclusively for the temporary storage of luggage belonging to "Bagazin" users. The Partner undertakes to:

Article 3 — Responsibilities of the Parties

3.1 Responsibilities of the Partner

The Partner assumes full responsibility for the custody of the luggage, from its registration via the "Bagazin" system until its withdrawal validated by the customer. In this respect, it undertakes to:

A withholding of 2% is applied to the Partner's gross revenue to fund the platform's collective guarantee and insurance fund, covering loss events up to 3,000 DH per incident. The Partner remains solely responsible for the physical conditions of preservation and security of the luggage deposited. In the event of proven loss, theft or deterioration, NomaDrop covers the compensation of the customer up to a limit of 3,000 DH (three thousand dirhams) per item of luggage, in accordance with its Terms and Conditions of Sale. NomaDrop reserves the right to take action in the event of fraud, gross misconduct or proven negligence.

3.2 Responsibilities of NomaDrop

NomaDrop acts as a technical and commercial intermediary. It undertakes to ensure the management of the platform and the connection of the parties, to provide the necessary tools (interface, notifications, QR code, signage), to process payments and bookings and to pay the commissions due (Article 5), and to provide assistance and mediation in the event of a complaint. NomaDrop is not liable for the losses, thefts or damage occurring on the Partner's premises, nor for any breach attributable to the Partner.

3.3 Prohibited items and limitation of liability

In accordance with the Terms and Conditions of Sale, the deposit of certain items (money, jewelry, illicit products, valuables, etc.) is strictly prohibited. Neither NomaDrop nor the Partner may be held liable for the consequences of non-compliance with this prohibition. The Partner's liability is limited to direct material damage caused to the luggage, excluding valuables or prohibited items and any indirect or intangible damage.

3.4 Abandoned luggage

In the event that luggage is not collected within 7 days following the scheduled withdrawal date: the Partner immediately reports the incident to NomaDrop; NomaDrop contacts the user by all means. If no contact is established within 15 days, the luggage is considered abandoned and handed over to the local authorities (Police / Station) upon written instruction from NomaDrop. Any additional storage fees are charged to the user.

Article 4 — Term of the agreement and termination

4.1 Term. The Agreement takes effect on its date of signature and includes a trial period of 3 months (during which either Party may terminate without notice or compensation), followed by a term of one (1) year, tacitly renewed for one-year periods, unless terminated.

4.2 Termination. Either Party may terminate subject to written notice of fifteen (15) days (by email or any means providing a certain date). The obligations are maintained during the notice period.

4.3 Termination for breach. In the event of a serious or repeated breach persisting after a period of seven (7) days, NomaDrop may terminate as of right, without notice or compensation, without prejudice to compensation.

4.4 Effects. Termination entails the immediate removal of the drop-off point and the return of any equipment, documentation or material provided by NomaDrop.

Article 5 — Commission and payment terms

5.1 Commission. The Partner receives a commission equal to seventy percent (70%) of the price, all taxes included, of each booking made via the platform; NomaDrop retains thirty percent (30%).

5.2 Bookings paid online. The amounts are collected by NomaDrop, which pays the Partner its 70% commission within a maximum of fifteen (15) days from the end of each month.

5.3 Bookings paid on site. The Partner deducts its 70% commission from the amount received; it pays NomaDrop's share (30%) by one of the following means: online payment via the Partner interface, bank transfer or check payable to NomaDrop LLC no later than the 7th of each month for the previous month, or cash collection by an authorized agent against a receipt. Any delay exceeding seven (7) days entitles NomaDrop to suspend the Partner's visibility until the situation is regularized, without this exempting the Partner from its custody obligations.

5.4 Allocation. The 70% commission is calculated on the price, all taxes included, after deduction of the online payment processing fees (estimated at 3%). Example for 30 DH: fees 0.90 DH (3%), base 29.10 DH, Partner commission 20.37 DH (70%), NomaDrop commission 8.73 DH (30%).

5.5 Transparency. NomaDrop provides a secure interface allowing the real-time tracking of bookings, amounts collected and commissions.

Article 6 — Confidentiality

The Parties maintain the confidentiality of all information, data and know-how of which they become aware in connection with the Agreement, throughout its term and for five (5) years after its termination.

Article 7 — Intellectual property

NomaDrop is the exclusive owner of all intellectual property rights relating to "Bagazin" (trademarks, logos, software, databases, content). The Partner shall not modify, reproduce or exploit them outside the scope of the Agreement. The tools and materials provided grant only a limited right of use for the performance of the Agreement.

Article 8 — Non-compete clause

During the term of the Agreement and for six (6) months after its termination, the Partner shall not offer a similar luggage storage service via a competing platform in the same establishment, divert Bagazin users, or use Bagazin's data, processes or know-how for competitive purposes.

Article 9 — Subcontracting and assignment

The Partner may only subcontract all or part of its obligations after the prior, written and express consent of NomaDrop.

Article 10 — Governing law and competent courts

The Agreement is governed by Moroccan law for its interpretation, performance and validity. Any dispute not settled amicably within a period of one (1) month may be brought before the competent courts of Rabat.

Article 11 — Election of domicile

The Parties elect domicile at the addresses indicated in the application and at the time of registration. Any notification made to these addresses is deemed valid.
